The Professional Institute of the Public Service of Canada, a national union representing some 70,000 professionals and scientists throughout Canada, requires a Governance Officer for its National Office.

What can I expect to do in this role?
Under the direction of the Executive Secretary, the Governance Officer provides confidential assistance and support to the Executive Secretary in ensuring compliance with the Institute's governance system by providing policy advice and operational support to the Board and its committees.
Major responsibilities:
- Develop governance frameworks, policies and process that ensure the effective and efficient operation of the Board and its Committees, including leading the research, development, recommendation and implementation of systems, processes and procedures that ensure ongoing compliance with regulatory requirements, good corporate governance practices and effective Board and committee functions.
- Acts as staff resource to Board committees; counsels policy makers on Institute policies related to governance, by-laws, regulations, practices, and procedures of the Board. Attendance to the Resolutions Sub-Committee.
- Review correspondence, research information, and prepare responses. Prepare and maintain electronic and paper files.
- Prepare, review, update and disseminate Board and committee information, packages and related documents to appropriate individuals.
- Act as a consult for general meetings and annual general meetings for constituent bodies, including coordinating proposed by-law changes or developments, resolutions, nominations and any other matters related to the meeting.
- Act as back up recording secretary for the Institute AGM, Board of Directors, and committees. Take and transcribe formal minutes of meetings and distribute Board and committee minutes as per Institute policy, as required.
- Prepare, review and ensure the accuracy and quality of all corporate records, board and committee proceedings, and related entities for such meetings of the Board or related committee meetings. Maintains and ensures appropriate application and control of all significant Board and committee documents and records.
- Identify, recommend, draft and implement governance oversight policies, procedures and protocols. Make recommendations for the use of external resources to ensure governance best practices.
- May interface with regulatory bodies on governance issues related to the Institute’s Board of Directors and related committees.
- Act as the temporary replacement in the absence of the Executive Secretary.
- Participate in multi-disciplinary teams assigned to special projects and work collaboratively with employees in other sections.
How do I qualify?
- Fluency in both official languages (French and English) is an asset.
- Three (3) to five (5) years of related experience in Board governance, or an equivalent combination of education and experience.
- Completion of a university degree in business or non-profit leadership or management or a related discipline.
The Governance Officer requires:
- Experience in managing and maintaining sensitive materials and matters by identifying and implementing appropriate safeguards.
- Superior knowledge of language usage, grammar, spelling and punctuation
- Experience researching governance related matters and preparing responses.
- Knowledge of Parliamentary and meeting procedures
- Knowledge of the Canada Not for Profit Act and legislation or regulations related to non-profits in Canada.
- Experience in managing conflict and/or dispute resolution methods
- Experience reviewing, updating and applying organizational constitutions, by-laws and governance related documents
- Experience conducting and analyzing research to prepare reports, memorandums, briefing notes and support materials for senior management or board members
- Experience recording and transcribe notes at meetings and prepare agendas, minutes, motions, and executive summaries
- Thorough knowledge of the Professional Institute’s organization, structure, policies and regulations
- Experience writing reports, correspondence and document preparation at the Board level, including proof-reading and editing materials.
