Brookfield Reinsurance is positioned to act as a strong, long-term partner to the insurance sector, with a primary focus on the life, annuity and pension market in North America and Europe. The business provides annuity-based reinsurance products to insurance and reinsurance companies and also acts as a direct issuer of pension risk transfer products for pension plan sponsors. In doing so, the business seeks to match long-duration liabilities with a portfolio of high-quality investments in order to generate attractive, risk-adjusted returns.

Position Summary:

The (Senior) Associate, Legal will be a key member of Brookfield Reinsurance’s growing team and will report to and work closely with the Vice President, Investments-Legal. The successful candidate with support a wide variety of internal and external facing legal matters and strategic initiatives, within Brookfield’s growing Reinsurance platform. The role will be based in Brookfield’s Toronto offices at Brookfield Place.

Responsibilities:

Securities Regulation

• Supervise the submission of filings on the TSX and NYSE
• Assist in establishing and monitoring trading protocols for Brookfield Reinsurance
• Assist with the preparation of SEDI filings and similar U.S. securities filings for Brookfield Reinsurance, its directors, officers and other reporting insiders
• Assist with the execution of debt and equity securities offerings and other securities-based transactions
• Support the Company’s Finance and Treasury teams on matters that may arise from time to time
• Assist with the preparation and review of Brookfield’s corporate disclosures including Management Information Circular, Form 20-F, Annual Report, and Quarterly Financials

Corporate Governance

• Assist with the annual general meeting of shareholders, including responding to any shareholder proposals
• Assist the Corporation in its review and evaluation of ongoing governance matters and legal entity management
• Review and prepare responses to stakeholder communications (e.g., letters from institutional investors) on governance related matters
• Assist the Vice President, Investments with various matters relating to the Brookfield Reinsurance Board of Directors, as well as the boards of affiliated private entities, including preparation of quarterly Board materials and meeting minutes

Legal and Corporate Compliance

• Serve as a legal resource on internal corporate initiatives, including internal reorganizations and other corporate transactions
• Manage regulatory corporate compliance filings and activities
• Supervise updates to Brookfield Reinsurance’s corporate organizational charts, including its private subsidiaries and director and officer listings and transactions lists
• Assist in the development and management of Brookfield’s approach to privacy, data, and document security
• Respond to internal and external stakeholder inquiries regarding corporate legal matters
• Responsible for legal research and preparation of internal memoranda on legal matters relevant to the Company’s activities
• Oversee formation and dissolution of entities, minute book updates and corporate resolutions
• Develop, implement and improve processes for the Company’s global regulatory and other filings (e.g., insurance regulatory filings, antitrust filings, etc.)
• Assist with the development, drafting and updating of corporate policies including overseeing the annual review of all corporate policies
• Lead responses to “know-your-client” requests from financial institutions and other partners
• Prepare, review, and revise Brookfield Reinsurance contracts, including non-disclosure agreements and professional engagement letters

Qualifications and Requirements:

• Familiarity with Canadian and U.S. securities law is an asset
• Be called to the Bar in Ontario or equivalent in another Canadian jurisdiction
• Excellent interpersonal skills and ability to develop collaborative relationships at all levels in the organization
• Have a minimum of three years’ post call experience as a lawyer familiar with securities, preferably gained at a major Toronto law firm and/or at within the in-house legal department of a large publicly traded corporation
• Team-oriented; demonstrates a commitment to shared success
• Self-motivated and proactive; eager to take ownership and able to advance work independently
• Excellent organizational skills to effectively manage priorities while meeting timelines
• Strong communication skills and judgment: ability to present clearly, develop practical solutions, and exercise sound judgement
• Strong analytical and problem-solving skills combined with attention to detail and thoroughness
