Job Description

Legal Counsel

(This is a Hybrid position and preference will be given to GTA based applicants!)


The Role:

The key purpose of this new senior role is to lead and enable delivery of Vet Strategy’s corporate governance needs, including legal entity management and dynamic corporate governance requirements. The role is key support role for the Group General Counsel and Company Secretary in the region. This will require the provision of corporate governance and company secretarial expertise and advice across Vet Strategy.


General

  • Managing legal risk affecting the Vet Strategy business, enabling its sustainable growth
  • Be an active member of the VS senior management team, and the Group Legal and Compliance team
  • Co-own and evolve the IVCE legal operating model targeting efficiency in service delivery


Key Accountabilities

  • Lead and support business colleagues
  • Provide commercial and pragmatic solutions to complex legal issues
  • Work with colleagues from the wider business to ensure compliance with regulatory requirements, including managing any regulatory investigations
  • Working in collaboration with other members of the Legal and Compliance function, continuously improve the legal target operating model
  • Use of data to report on workloads and support management of legal risk
  • Provide strategic and legal support to resolve material disputes
  • Effective management of and liaison with third party advisors and service providers as appropriate
  • Providing legal advice/counsel in business-related areas of expertise (e.g., corporate law, real estate, tax, business litigation, transactions/anti-trust, compliance, intellectual property, employment/labor, corporate governance, ethics, etc.)
  • Provide prompt and pragmatic legal support to inform and support business goals and ensure legal compliance
  • Structuring, drafting, negotiating and/or approving legal contracts, letters of agreement, policies and other documents related to a variety of trade, commercial, financial, and operational matters.
  • Draft, review and negotiate commercial contracts
  • Researching, analyzing, and interpreting proposed and existing laws, statutes, and regulations
  • Maintain and update terms and conditions for the various businesses
  • Identifying, evaluating, and addressing issues of legal risk
  • Maintain a good working knowledge of core legal compliance areas relevant to the Canadian business e.g. Canada’s Modern Slavery Act


Skills, Knowledge and Experience

  • Track record providing practical legal advice in relation to commercial contracts, disputes, and general regulatory and compliance work
  • 3-5 Years of experience
  • Familiarity with in-house environment, with experience in dealing with colleagues at all levels; demonstrable experience or understanding of a B2C environment
  • Experience in delivering cross functional projects involving high levels of collaboration and team working
  • First class technical knowledge, able to balance legal and commercial requirements
  • Premium private practice background
  • Experience in supporting a wide range of stakeholders and colleagues
