What is the opportunity?

The Senior Counsel and Assistant Secretary supports the Corporate Secretary’s Department as a key member of the Law Group’s Board Team, providing advice, counsel and support on a variety of corporate governance, securities and other legal matters. The Senior Counsel and Assistant Secretary guards the Bank’s legal interest and maintains its operations within the scope established by law and applies experience and seasoned knowledge, skills, and practices to perform a variety of assignments.

What will you do?

• Play an integral part in the development of materials for the Board and Committees, also offering logistical and operational support during meeting cycles
• Monitor legal and regulatory developments and assess their impact to RBC’s corporate governance practices, as well as contribute to developing strategies that ensure ongoing regulatory compliance
• Work with business and functional partners in reviewing internal policies and practices for compliance with corporate governance practices and securities laws
• Conduct legal review of certain of RBC’s public disclosure documents
• Serve as a trusted advisor to management and the Board, offering insights on a wide array of legal and regulatory matters, including corporate governance, executive compensation and securities law
• Be a key member of the Board Team, driving corporate governance initiatives and supporting the Board and its Committees
• Assist in responding to shareholder inquiries and concerns by collaborating with internal stakeholders, with a focus on matters related to corporate governance and executive compensation

What do you need to succeed?

Must-have

• Flourish in collaborative team settings, adept at steering workstreams and managing multiple, competing priorities within a fast-paced environment.
• Solutions-oriented, with sound judgement and a client-focused outlook and Strong written and oral communication skills.
• Possess a JD/LLB and called to the Bar of a Canadian province, with membership in an applicable law society or bar association
• 5+ years of business law experience at a law firm, financial institution, large corporation, or regulator. Your expertise should include corporate law, securities law, and corporate governance.
• Ability to leverage your professional background, industry acumen, and regulatory understanding to excel across a diverse range of assignments.

• Knowledge of financial institutions regulatory environment
