What you will do:

Reporting to the to the General Counsel, the Legal Counsel, Corporate, acts as the mid-level counsel for the legislative and regulatory compliance program (LRCP), complex contract negotiations, advice, and associated risk management in the areas of corporate and medico-legal law.


The successful incumbent will play a key risk mitigation function for TOH. The Legal Counsel, Corporate will provide expert and effective counsel; manage external counsel relationships; and identify, monitor, and manage potential areas of legal vulnerability and risk. Legal Counsel will be expected to develop strong relationships to drive performance and provide a disciplined, well balanced, and values-based approach to anticipating, mitigating and managing risks and seizing opportunities. The role will deliver expert legal counsel to key internal stakeholders, including senior leadership, to execute on legal and regulatory requirements relating to TOH’s organizational objectives.


Legal Counsel is a resource for staff on a wide range of corporate and medico-legal related issues on a day-to-day basis. The position also supports the standardization of due diligence and related policy development, contract drafting and negotiation, claims management and legislative and regulatory compliance analysis.


The Legal Counsel is responsible for:

  • Leading and implementing TOH’s LRCP process and support the development of appropriate management plans to mitigate risks.
  • Reviewing, in collaboration with stakeholders, agreements of all kinds to mitigate associated risks
  • Drafting relevant contract templates, developing frameworks for risk-based negotiations, and negotiating relevant contracts.
  • Ensuring TOH is compliant with workforce-related legislation, regulations, and rules of regulatory agencies, and that its policies and procedures are monitored for compliance.
  • Managing and providing specialized LRCP advisory services and evidence-based strategic advice and agreement/transaction support on complex matters
  • Collaborating with other department and team leads on complex and multidisciplinary projects, providing reasonable, balanced, and researched-based legal advice.
  • Providing technical legal support, leadership and education to corporate teams and to management of all levels across TOH, evaluating and assessing risk, liabilities, and efficiencies from a corporate/medico-legal perspective.


What you will bring:

  • Knowledge of legislation, regulations, policies, procedures, and other legal requirements affecting public hospitals and the broader public sector;
  • Confidence, diplomacy, service-oriented, discretion, sound judgment;
  • Ability to analyze problems, develop and assess solutions and provide risk management assessments to ensure legal and regulatory compliance, translating complex compliance and regulatory standards into material that can be understood by a diverse audience;
  • Undergraduate degree in a relevant field of study;
  • Superior knowledge of Legal principles and framework associated with all aspects of corporate and medico-legal law;
  • Proficiency in the use and maintenance of computer database systems and data analysis;
  • Five (5) years of experience with regulatory and legal research, including solid working knowledge of electronic legal databases and legal reference tools (CanLII, WestlawNext, LexisNexis Quicklaw, Brown, and Beatty, etc.);
  • Excellent written and oral presentation skills including exceptional negotiation skills;
  • Juris Doctor Degree (J.D.) or Bachelor of Laws (LLB);
  • Ability to establish and develop effective working relationships with others and foster collaboration between diverse groups in order to drive positive change.
  • Advanced knowledge of Microsoft Word, Excel, PowerPoint, and Outlook;
  • Excellent interpersonal and relationship management skills, and group facilitation skills and ability to develop others, including providing effective feedback and coaching to others;
  • Ability to provide sound advice of relevant considerations and risks in a complex, highly unionized workplace, including the ability to influence a wide variety of stakeholders;
  • Five (5) years of progressive experience in consulting, advising, analyzing and problem-solving legal matters in the field of corporate and medico-legal law;
  • Strong conceptual thinking and analytical abilities;
  • Creation of memos to file, the Budget Report, creating graphs and charts for statistical analysis, use of PowerPoint for creation of presentations;
  • Superior knowledge of corporate and medico-legal law policies and procedures, and related legislation (i.e. Human Rights Code, Public Hospitals Act, Coroner’s Act, Mental Health Act, Regulated Health Professionals Act, Labour Relations Act.);
  • Excellent organizational skills, prioritization, and capable of managing competing priorities/meeting deadlines;
  • Call to the Ontario Bar and member in good standing with the Law Society of Ontario;
  • Two (2) years of experience managing, coaching, mentoring, and leading staff;
