Our client, a rapidly growing PE-backed industrial and facility services company, is bringing the M&A and strategy function in-house and looking for a Director to lead the way.
Reporting directly to the CFO, the Director, M&A and Strategy will play a key role in driving the organic and inorganic growth of the company. Their primary responsibilities will encompass identifying, evaluating, and executing strategic initiatives and taking charge of the end-to-end M&A process, including origination, execution, and post-close integration. The ideal candidate will exemplify our client's core values of integrity, hard work, and humbleness, while adeptly collaborating with stakeholders at all levels, ranging from the executive suite to field staff. This individual will possess a strong aptitude for analysis, problem-solving, and strategy with the capability to autonomously lead major endeavours and undertakings. Responsibilities
Lead all M&A initiatives, managing transactions from initial outreach through negotiation, execution, and post-close integration, including:
- Leveraging internal and external resources to identify and originate acquisition opportunities across Canada and the US, including direct outreach with potential sellers;
- Develop and present investment memoranda and other M&A updates to the Board of Directors; and
- Serve as the primary point of contact for advisors and legal counsel; lead negotiation of legal documents (e.g. share purchase agreements, credit agreements, etc.);
- Support the integration of newly-acquired companies
- Thoughtfully evaluate new acquisition opportunities; develop investment theses and build complex financial models to support transaction valuation and structuring;
- Lead transaction execution, manage third-party advisors and co-ordinate with internal resources to complete commercial, legal, technical, and financial due diligence;
Work closely with the CEO, CFO, and other members of the senior leadership team on the strategic planning process and other high-priority initiatives, including:
- Conduct in-depth market, industry, and economic research to identify opportunities and develop thought leadership; and
- Lead a wide range of initiatives by structuring complex business problems, organizing stakeholders in support of a strategic plan, synthesizing relevant data, and delivering actionable recommendations;
- Support the development of executive-level communications at all levels of the company, including the Board of Directors.
- Partner with leaders across the business to provide analytical and operational support; identify issues and assist in re-prioritizing/re-allocating resources to address them;
- Develop strategy recommendations for high-priority business decisions using analytical frameworks and rigorous financial modeling skills;
Qualifications
- Undergraduate degree in business, commerce, engineering, or equivalent. MBA, CPA, or other professional designation is an asset.
- Low ego and exceptional interpersonal skills; able to effectively build relationships and communicate complex strategic, financial, and business concepts to people with varying degrees of financial and business knowledge, both internally and externally.
- Strong technical and financial skillset, including financial modelling, valuation analysis, accounting, and complex data analytics.
- A minimum of 7 years of progressive experience in corporate development, private equity, investment banking, accounting, and/or strategic consulting.
