Vela Software (“Vela”) acquires, manages, and builds vertical market software companies globally across a range of industries. Vela is a subsidiary of Constellation Software Inc. THE POSITION
Reporting directly to the head of M&A at Vela (his background: Private Equity, McKinsey, HBS), you will play an integral role in helping drive Vela’s inorganic growth and optimizing our M&A processes. The role provides a great entry point into Constellation Software, an opportunity to learn how we think about investing in and operating software businesses, and good exposure to senior leadership.
You will be involved in a wide variety of projects and work closely with colleagues across Vela and CSI more broadly. You will likely have one direct report. Responsibilities of the role include:
Investing (~40% of your time)
- Participate in deal execution for larger platform acquisitions and smaller acquisitions on an as-needed basis: analyzing company data, developing financial models, attending management meetings, performing industry research, conducting due diligence, writing investment memos, and participating in transaction negotiations.
- Work with the head of M&A to review acquisition rationale, valuation, investment memos, due diligence reports, and financial models for all prospective Vela acquisitions.
- Identify attractive acquisition targets and coordinate outreach to company owners. Build and manage a funnel of investment opportunities from scratch.
M&A Analytics and Reporting (~30% of your time):
- Analyze M&A performance through the pipeline, develop process improvement recommendations, and share best practices.
- Prepare quarterly and annual board packages in coordination with the head of M&A and the CFO.
- Work with our acquisition sourcing teams to review lead ownership and lead management.
- Review acquisition performance on a quarterly basis and participate in strategic review calls with our business units.
- Take ownership of our monthly and quarterly M&A reporting packages and share insights/findings across the organization on a monthly basis.
Learning Development and Corporate Initiatives (~30% of your time)
- Help develop best practice materials around vertical market software M&A and integration.
- Spearhead and own select strategic initiatives and research projects for the CEO and head of M&A.
THE PERSON
You are driven to perform, results-oriented, and interested in value investing. You are an enthusiastic and energetic self-starter who is comfortable performing detailed analysis in Excel and synthesizing and communicating your conclusions. You are organized and do not let details slip through the cracks. You are a collaborative individual, who can work well with others across an organization. You are resourceful and take initiative to put forward suggestions on how to improve the status quo. You are curious and can learn new concepts and ideas with limited direction.
SPECIALIZED SKILLS:
- Exposure to the software industry and CPA/CFA are benefits, but not requirements.
- Strong understanding of financial statements and good business judgement.
- Demonstrable experience of being proactive and initiating new ideas in your current/former roles.
- Proven ability to build financial models with minimal supervision.
- Excellent undergraduate academic performance (Business/Finance degree preferred).
- Advanced understanding of Microsoft Excel and Power Point and familiarity with Salesforce
- 3+ years of experience in transaction advisory/corporate finance, private equity, or management consulting with an interest in investing and operations.
