Job Description

Reporting to the General Counsel, the Senior Corporate & Governance Paralegal plays a key role in providing efficient and effective support to the Legal Department and the Board of Directors. The Senior Corporate & Governance Paralegal has oversight for the efficient functioning of the Legal Department and is responsible for coordinating activities related to the Board of Directors.


Working Conditions:


The Senior Corporate & Governance Paralegal works in a hybrid environment, with the ability to work remotely or from one of our client’s Corporate offices located in Vancouver, BC or Edmonton, AB. The Senior Corporate & Governance Paralegal will be expected to travel on an occasional basis to support in-person meetings and occasionally work weekends and evenings, as required.


Primary Job Function:

The duties of the Senior Corporate & Governance Paralegal will include but are not limited to:


Board Management:

  • Organizing and attending all Board and Committee meetings and minuting the same
  • Drafting standard form resolutions
  • Ensuring the accuracy and integrity of Board and Committee meeting agendas
  • Maintaining up-to-date records of board members and committee composition including biographies and confidential information
  • Liaising with Board Chair, Committee Chairs, directors, and senior management as needed
  • Assisting with the timely delivery of meeting materials to the Board


Corporate Records:

  • Liaising with external service providers to ensure the accuracy of corporate records and registrations
  • Planning and maintaining the annual Corporate Secretary calendar including Board and Committee meeting dates
  • Maintaining corporate records and electronic minute books including shareholder data


Administration:

  • Day-to-day administration of the legal department including invoicing, responding to auditor requests, preparing KYC responses, maintaining legal file systems, and other tasks and special projects as required


Safety Duties, Accountabilities, Authorities, and Responsibilities:

  • Initiate the creation and implementation of corrective action plans as a result of Event/Hazard Reports, Preventative/Corrective Action Requests (PCAR), or audit findings
  • Encourage active participation in the SMS for all personnel
  • Involved in reactive and proactive risk assessments
  • Responsible for the Safety Management System (SMS) within the Accounting department


Qualifications and Requirements:

  • A paralegal diploma is considered an asset
  • A minimum of 5 years of experience in private practice or in-house or a combination thereof with preference given to those with direct experience supporting the Corporate Secretarial function
  • Must be legally eligible to work in Canada without any restrictions
  • Proficient in Microsoft Office, Adobe, and Board Portals
  • Clear criminal record check and satisfactory references
  • CORES (Level II) certification is preferred
