Reporting to:Portfolio Manager, Vencora Banking

Location: Toronto (Office/Remote)

Travel Required:Global business travel required for up to 50% of the time.

JOB SUMMARY

Reporting into the Portfolio Manager, the M&A Director will be responsible for directing the Vencora Banking Portfolio’s M&A activities globally this role will act as our principal industry advisor on the Banking industry and all related M&A elements. You will provide deep domain expertise and key industry leadership regarding acquisitions and ensure the Vencora global strategic objectives are driven throughout the acquisition process.

The M&A Director is tasked with leading M&A transactions through cross-functional due diligence and gathering and leveraging integration planning inputs to support integration planning and valuation inputs. The M&A Director also gathers important information regarding risks and opportunities for impending and ongoing M&A activities, translating this information into fact-based and well-reasoned insights on the valuation and structural impact of the acquisition.

This leadership position requires continual interactions with both internal and external business leaders in driving ongoing alignment of acquisitions. The M&A Director is additionally responsible for ensuring that internal M&A processes and standards are adhered.

In this capacity, the M&A Director also plays a mentorship role to key M&A personnel, ensuring constant improvement in their performance and skills, readying them for the occupation of their position in the future. You will lead your team to ensure they have alignment with our M&A strategy and are focused on achieving the key objectives.

RESPONSIBILITIES & ACCOUNTABILITIES

  • Perform any other reasonable duties as required.
  • M&A lead Advisor and lead on the execution of transactions.
  • Facilitate the agreement of the investment memo objectives.
  • Develop repeatable, efficient, and effective M&A workflow, playbooks, and best practices, including extracting the learnings through the Post-Acquisition Reviews.
  • Work closely with the operations team and the acquired business to develop detailed integration plans (30/60/90-day plans) to ensure our businesses are well integrated and can meet the stated outcomes within the Investment Memo.
  • Identify high-performing M&A best practices and share these with the Portfolio Manager and Portfolio Management Team.
  • Manage the M&A team to ensure they deliver the required M&A activities and outputs within agreed timeframes.
  • Manage the M&A execution team.
  • Work with internal and external teams during M&A processes, including due diligence, negotiations, and integrations.
  • Oversee the implementation of the M&A strategy to ensure all the key objectives are met.
  • Oversee the due diligence process and assumptions.
  • Provide strategic advice, support, and influence for all acquisitions in the Portfolio, including:
  • Work with the Portfolio Manager to build the investment thesis of acquisitions.
  • Travel to offices in other locations (international/national) for diligence and initial integration support.
  • Produce presentation materials summarizing investment opportunities and recommendations for the Vencora and Volaris leadership teams.
  • Support the Portfolio Manager in the creation of the Vencora Banking Portfolio’s M&A strategy.
  • Identify and monitor target companies, contact and maintain a close dialogue with the owners of those companies, as well as coordinate and execute acquisition transactions (both internal and external processes).
  • Development and maintenance of the M&A pipeline, sourcing, and developing new deal opportunities, both self-generated, through our Corporate Development team and through leveraging our Business Units and referral channels and converting targets to actionable opportunities.
  • Support the ongoing development of talent in your team and ensure high potential talent is retained.
  • Lead the due diligence process and develop and maintain all of the key master files for use with all acquisitions.
  • Work with the legal team to manage and negotiate non-disclosure agreements and confidentiality agreements with target companies as well as transaction documentation.
  • Support the purchase agreement negotiation process.
  • Leverage best practices to drive successful acquisitions of financial services businesses for the Vencora Banking Portfolio.
  • Provide strategic advice and regular updates to all key stakeholders on deal progress.
  • Manage the M&A function, including:
  • Deliver strategic M&A support to the Portfolio Manager and Portfolio Management Team.

EXPERIENCE & QUALIFICATIONS

  • Strong commercial judgment with the foresight to see how potential acquisitions will fit within the Portfolio.
  • Established track record as the M&A leader of a successful multi-location business, within the Banking sector.
  • Excellent interpersonal skills and a clear and proactive communicator who maintains a steady flow of information and someone who can impart the vision to a broad audience and earn the confidence of others.
  • Relevant experience within company valuation, project management, acquisition processes, transaction documents, and due diligence, and have the ability to lead work streams in these areas.
  • Bachelor’s or master’s degree in business management, finance, operations, strategy, or a relevant discipline.
  • 7 – 10+ years of experience in senior M&A roles within the software industry.
  • Experience having successfully acquired businesses globally.
  • 10+ years’ experience within the Banking Industry and deep domain expertise thereof.
  • Strong business acumen with the ability to anticipate business trends and take appropriate actions that benefit the business.
