The Opportunity:

Key Responsibilities:
- Prepare, review and proofread correspondence and legal documents.
- Communicate with clients and other legal professionals.
- Address all matters relating to corporate/commercial financing such as the review of commitment letters and preparation of security documents.
- Take minutes and dictation.
- Managing corporate records, including maintenance of minute books and the corporate entity database.
- Preparing documents for formation and dissolution of entities.
- Filing annual returns and drafting minutes/resolutions.
- Maintain filing systems, drafting correspondence and scheduling meetings.
- Other general office work as required.
- Preparing organizational resolutions, bylaws, and other documents.
- Performing various corporate searches and corporate on-line registrations.
- Perform research and gather information on legal matters.
- Drafting and/or reviewing legal documents and resolutions and assisting with due diligence to support acquisitions, dispositions, and corporate restructuring matters.
Qualifications:
- 5+ years of experience working in corporate law. Preference given to candidates who also have experience working in real estate law and wills & estate law.
- Computer skills and the ability to pick up new technologies quickly.
- Excellent communication skills and the ability to interact professionally with clients, lawyers, and officials.
- The ability to meet strict deadlines and to work independently with minimal training.
- Bilingual (English and French) is strongly desired.
- Have advanced organizational skills and have the ability to manage multiple files at once.
