Job Description

Board of Directors – 2 Positions

Oshawa Power and Utilities Corporation (Oshawa Power Group of Companies) is an infrastructure asset holding company that provides energy and communication related services through three subsidiaries. The first, Oshawa PUC Networks Inc., is a regulated utility that distributes electricity in the City of Oshawa. Its mission is to earn the trust of our customers’ everyday by delivering safe, sustainable, reliable energy our customers’ value at a competitive rate. Additional subsidiaries include Oshawa PUC Services Inc., which provides a reliable, dark fibre optics communications network within Oshawa and Durham Region, and Oshawa PUC Energy Services Inc., which develops, constructs, and operates energy generation projects in Ontario.


We are looking for seasoned business executives with a broad knowledge of corporate finance, risk management, technology and business modernization, M&A experience and Human Resource and Governance expertise. Oshawa Power is recruiting for two (2) Board members with two (2) specific sets of skills. As part of the Board succession plan, successful candidates should be willing to learn and grow into a potential Committee Chair position.


The first successful candidate would have strong knowledge and demonstrated skills in the Finance area including a CA, CPA or CGA designation. Technology expertise and digital transformation/business modernization experience would be an asset as the candidate helps to guide the Chief Technology Officer (CTO) with the development and execution of digital plans. An individual with a background in technology and experience supporting business modernization efforts would be an asset.


The second successful candidate would be an experienced Human Resources or Governance Expert who has extensive experience in a quickly changing people and governance environment with a solid understanding of risk management. The successful candidate would have demonstrated experience as a C-Suite Executive with success overseeing people in a changing and dynamic environment.


Successful candidates will have the ability to play a key role in guiding the future of Oshawa Power through modernization and change while contributing to and directing the growth and health of our regulated and unregulated business ventures and mitigating the risks involved with that growth.

As a member of the Board of Directors, you will work collaboratively to oversee a complex, regulated business that provides vital services within the community. Familiarity with emerging technologies and innovation would be an asset as would experience in energy or a related industry.

The Board is skills-based and conducts an annual Board skills assessment to ensure it

maintains an appropriate balance of skills, expertise and experience. All candidates for

appointment to the Board must meet certain requirements, including:

 Demonstrated integrity and high ethical standards;

 Relevant career experience and expertise; and

 An understanding of the role of Oshawa Power both as a service to local ratepayers and

an asset of taxpayers.

The nomination and selection process are designed to maintain a Board that includes the

following overarching competencies amongst its’ Directors:

 Strong business background, including competitive business experience and strategic

planning;

 Energy and business experience and expertise;

 A strong financial background;

 Business modernization experience with experience in the IT and Technology areas

 Relevant Industry sector experience in the areas of power, electricity,

telecommunications companies;

 Board and Governance experience;

Our Board meets at least 5 times a year with additional expectations to serve on committees

and task forces, and to participate in organization-wide events. Board members are asked to

commit to a term of three years in length.
