Job Description

Associate General Counsel – Remote – USA or Canada

Reporting to the General Counsel, the Associate General Counsel will negotiate and draft agreements relating to strategic transactions in support of Anaergia’s global project deployments, finance and operations, including providing advice to business units in the US and internationally in relation to governance, renewable energy project incentives, environmental markets, international trade and compliance. The Associate General Counsel will work closely with all businesses and entities within and across Anaergia companies, and is expected to interface with senior corporate management, customer/supplier executive management, public agency executives and other government officials.


Key Responsibilities Include:

  • Support for other corporate legal and compliance requirements
  • Assisting in review of public and private requests for proposals and support for associated responses/bids, including specification of contractual guidelines and terms and conditions for procurement
  • Analysis and implementation of strategic commercial agreements in support of Build-Own-Operate and capital sales in North America, and collaboration with international legal teams on global opportunities
  • Coordination with General Counsel in review and reporting of legal issues for company operations, finance, administration, and senior management, including advising on ESG matters and emerging areas of law and regulation pertaining to renewable energy
  • Advising on project financing and funding arrangements
  • Analysis and reporting of contract and transaction requirements, special provisions and terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and business operations, and support for regulatory compliance from development through commercial operations of projects
  • Supervising and implementing general risk management and litigation avoidance strategies, while staying on top of legal and regulatory changes
  • Planning, negotiation, and execution of global M&A and complex corporate transactions (including public and private securities offerings and debt transactions), and associated drafting and review of associated documentation
  • Attending to transaction requirements for foreign affiliates while working collaboratively with team members in other global regions
  • Global support for regulatory activities and government relations, including assisting with the development of overall strategy and management of relationships with regulators, and working with trade associations and government relations firms to track and shape regulations and opportunities


Essential Requirements:

  • Diligent and having ability to work accurately under pressure, prioritizing transactions and projects simultaneously under deadline in a high-performance environment
  • Capacity to lead on issue resolution without direct supervision
  • Solid analytical, critical thinking and drafting skills
  • Track record of integrity, even when inconvenient to business objectives
  • Relevant applied experience of 10+ years, preferably with project financing and/or M&A in energy, utilities, and technology sectors
  • Persistence in enforcement of company policies and standard operating procedures
  • Highly organized, with ability to deliver under tight deadlines
  • A license to practice law in any U.S. jurisdiction or common law province in Canada
  • Superior MS Office and SharePoint skills, and familiarity with ERP, CRM systems
  • Experience in managing outside counsel globally
  • Excellent communication, negotiation and leadership skills
  • Exceptional attention to detail and competency with research
  • D. or LL.B


Strongly Desired:

  • Familiarity with international operations, and requirements of different legal systems
  • Knowledge of engineering, construction, waste recovery, renewable energy, wastewater and/or recycling industries
  • At least 10 years overall experience with negotiation and drafting of documents in commercial transactions, including agreements for capital sales, long-term feedstock supply, gas/power purchase and sale agreements
  • Experience with regulatory approvals and enforcement, and government grants/contracting
  • Strong understanding of regulatory, tax and incentives in renewable natural gas
