PURPOSE OF THE POSITION:


CPKC Legal Services is seeking an experienced Legal Counsel to join our dynamic Commercial group, reporting to the Senior Legal Counsel - Commercial. The successful candidate will provide proactive business-oriented legal advice to the corporation at all levels, and will provide support to senior lawyers primarily in the area commercial law. The successful candidate must have the ability to work on-site, based in CPKC’s corporate headquarters on a full-time basis.


POSITION ACCOUNTABILITIES:


  • Provide legal support to the Purchasing Department and other internal business departments as dictated by the needs of the departments and the direction of the Senior Legal Counsel – Commercial and the Legal Services leadership team
  • Provide instructions, direction and oversight to outside counsel in their performance of CPKC legal work in all matters assigned to outside counsel
  • Provide back-up and support for other members of the Legal Services team as required
  • Work independently and in coordination with various internal business departments in negotiating and drafting contracts and related documents, including procurement agreements, construction agreements, service agreements, software license and/or service agreements, facility agreements, shipping/customer agreements, and other industry-related type business agreements
  • Assist the commercial legal team in all aspects of its legal practice
  • Provide internal legal support to various departments regarding contract disputes and pre-litigation matters
  • Provide legal opinions as requested by Senior Legal Counsel – Commercial and the Legal Services leadership team
  • Provide support to the Legal Services team in other areas of law, including regulatory and litigation, as needed from time-to-time
  • Other duties as determined from time-to-time by Senior Legal Counsel – Commercial and the Legal Services leadership team
  • Prepare precedence forms of template agreements to reflect current legal trends, compliance with CPKC policies, practice, and procedures, and the business needs of CPKC
  • Professionally and effectively communicate with internal clients and the Legal Services leadership team in a timely manner regarding commercial transactions
  • Provide legal support to internal clients and the Legal Services leadership team on joint ventures and other commercial arrangements with third parties
  • Provide general legal advice in the interpretation, and application of legal concepts and principles relating to contract provisions and applicable commercial, transportation and regulatory law, while ensuring alignment with established CPKC policies, practices and procedures


POSITION REQUIREMENTS:


  • Graduate of a recognized law school and membership in the Law Society of one or more of the provinces of Canada
  • Demonstrated organizational skills to prioritize high volume work load in a time sensitive environment
  • Ability to effectively manage relationships with outside counsel
  • Minimum 5 to 7 years of legal practice in a private law firm, or corporate law department
  • Knowledge of transportation and regulatory laws, both federal and provincial, would be preferred
  • Excellent interpersonal skills and ability to work independently with minimal supervision
  • Demonstrated experience in participating in multi-faceted transactions and achieving successful results with a diverse group of stakeholders
  • Possess strong analytical skills and ability to apply applicable legal principles to CPKC business and operations, and excellent communication skills to deliver effective, proactive, holistic, strategic legal advice
  • Willingness and ability to work outside of normal business hours as required to provide timely legal advice and services
