Job Description
The opportunity


We have an exciting role available with our Corporate Affairs team! As a Corporate Law Clerk, you will be focused on providing corporate law clerk and administrative services to the Legal Department and Ontario Teachers' Pension Plan Board (“Ontario Teachers’”) staff. If you're someone who enjoys working independently but also engaging with multiple internal and external partners, this role is for you!


Who You'll Work With


Joining the Corporate Affairs team, you will obtain ongoing advice and guidance from all Legal Team members, through working together to achieve the Legal Team’s objectives. The Legal Team operates in a collaborative manner and this will enhance future learning opportunities.


What You'll Do


  • Maintain listing of director appointments and resignations for employees and board members (both internal and external affiliations)
  • Organize annual general meetings of directors and shareholders.
  • Manage and maintain subsidiary database
  • Maintain corporate records and prepare filings for Ontario Teachers’ and Ontario Teachers’ special purpose entities
  • Conduct corporate due diligence searches (Certificates of Status, Entity Profile Reports)
  • Assist with all aspects of entity formation: creation and organization of corporations and special purpose entities for Ontario Teachers’, including name searches, minute books, resolutions, by-laws, etc..
  • Gather and compile information for various regulatory filings in relation to Ontario Teachers' investment matters


What You'll Need


  • Law clerk accreditation
  • Proficiency with Microsoft Office applications
  • 2 to 6 years of corporate law experience with a track record of success of supporting lawyers and working in a team environment
  • Excellent organizational, communication, information technology and legal administrative skills.
  • Experience with Global Entity Management System (GEMS)
  • High quality deliverables with particular attention to detail
