General Counsel & Corporate Secretary

Your role as General Counsel & Corporate Secretary
Reporting to Navaid Mansuri, Chief Financial Officer, you will play an integral role in the development of this TSX-listed company's most important priorities, including Mergers & Acquisitions, Privacy, Risk Management and Board Governance.
What You’ll Be Doing

• Acting as the Corporate Secretary by managing appropriate systems and processes to ensure the Board's ongoing compliance with its corporate governance obligations
• Ensuring Dialogue complies with all provincial and federal laws, and monitoring any potential regulatory changes in the health care and privacy landscapes
• Providing sound legal advice to the executive team, on various strategic matters and leading negotiations process when needed
• Managing, coaching and developing the Legal, Risk & Compliance team which includes organizing and overseeing the execution of the work while managing performance
• Assisting in all legal aspects of M&A related projects, including drafting and negotiating purchase agreements and ancillary documentation, oversight of due diligence activities, coordination with all internal stakeholders to ensure appropriate review and input, and with external counsel

We'd Love To Hear From You If You Have

• Experience in the healthcare space is a nice to have
• 10+ years of professional work experience combining in industry and at a law firm
• Proven ability to structure, manage and inspire seasoned and high performing teams
• Strong communication skills in French & English as you will represent Dialogue across different jurisdictions
• Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) and are a member of the bar in good standing
• Expertise on securities law, mergers and acquisitions, privacy, governance, and employment law
• Experience within a a public company is an asset
